1. About YachtOpera
YachtOpera is a cloud-based yacht operations management platform provided by YACHTOPERA LTD. It helps yacht owners, operators, managers, captains, crew and other authorised users organise and manage vessel operations in one connected workspace.
Depending on the subscription plan, functionality may include:
- vessel documentation and compliance management;
- crew administration and work and rest records;
- planned maintenance and equipment records;
- inspections, surveys and safety management;
- operational records, alerts, reminders and reporting; and
- related vessel-management workflows.
Available functionality varies by subscription plan and may evolve as YachtOpera is improved and updated.
2. Acceptance of these Terms
By creating an account, purchasing a subscription, accessing YachtOpera or using the services, you agree to these Terms. If you accept these Terms for a company, yacht owner, vessel operator, manager or other organisation, you confirm that you have authority to bind that organisation. In that case, “you” and “customer” refer to that organisation as well as its authorised users where the context requires.
3. Eligibility and accounts
You must be legally capable of entering into a binding agreement and must:
- provide accurate, current and complete registration information;
- keep login credentials confidential and secure;
- take responsibility for activity by authorised users under your account; and
- promptly notify us of suspected loss, misuse or unauthorised access.
We may require reasonable account, identity or authority verification before activating or continuing access to the service.
4. Subscriptions and plans
YachtOpera is offered primarily as a subscription service. Features, usage limits, support and other entitlements depend on the plan selected. Current prices and plan details are displayed on the YachtOpera website, during checkout or in an applicable order or proposal. Plans may include optional paid add-ons.
Prices are shown excluding VAT. Applicable taxes are calculated and charged by Paddle at checkout. We may change pricing for future billing periods by giving reasonable notice. A price change does not alter charges already paid for a current billing period.
5. Billing and recurring payments
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payment and handles returns.
Orders are sold by Paddle.com Market Ltd ("Paddle"), our online reseller and Merchant of Record. Paddle handles payment, tax (VAT/sales tax), invoicing, refunds and chargebacks for orders. YACHTOPERA LTD provides the YachtOpera service.
When you buy a subscription, you also agree to Paddle's Buyer Terms. By starting a paid subscription you authorise Paddle to charge your payment method for recurring charges until you cancel. YachtOpera does not receive or store your full card details.
If a payment fails, Paddle or we may contact you; continued failure may lead to restriction or suspension of the service after reasonable notice.
6. Renewal
Unless cancelled in accordance with the applicable cancellation terms, subscriptions automatically renew for successive billing periods. Renewal occurs at the applicable subscription rate for the next billing period, subject to any price change notified in accordance with these Terms.
7. Cancellation
You may cancel your subscription from your account or by emailing hello@yachtopera.com, in accordance with the YachtOpera Cancellation & Refund Policy. Unless otherwise stated, cancellation prevents the next renewal and access generally continues until the end of the billing period already paid for. Cancelling a subscription does not automatically create a right to a refund.
Consumers also have the 14-day cancellation right described in our Cancellation & Refund Policy. Refunds under that right are processed through Paddle to the original payment method.
8. Refunds
Refund eligibility is governed by the YachtOpera Cancellation & Refund Policy and any mandatory rights that apply by law. Approved refunds are processed through Paddle, our reseller and Merchant of Record, to the original payment method.
Refunds under the 14-day cancellation right for consumers are processed through Paddle to the original payment method, as explained in our Cancellation & Refund Policy.
9. Digital delivery
YachtOpera is a digital SaaS service; no physical product is shipped. Access is normally made available electronically after successful registration, subscription activation and any required onboarding steps. Further information is available in the Digital Service Delivery Policy.
10. Customer responsibilities
You are responsible for:
- providing accurate vessel, crew and company information;
- maintaining the accuracy and currency of uploaded records;
- ensuring authorised users receive appropriate roles and permissions;
- reviewing and verifying operational decisions;
- maintaining required original certificates and statutory records where applicable;
- complying with applicable flag-state, port-state, class, employment and maritime requirements; and
- maintaining suitable backups or original source records where operationally necessary.
11. Compliance responsibility
YachtOpera is a support tool. Its purpose is to help make yacht operations more efficient and to help vessels stay compliant. YachtOpera does not take over, share or assume any legal, regulatory or operational responsibility for any vessel, crew member or operation.
Responsibility for meeting all applicable requirements remains at all times with the vessel's owner, operator, manager, master, crew and designated shore-based persons (including the Designated Person Ashore), as applicable. This includes flag-state, port-state, class, ISM, ISPS, MLC 2006, STCW, SOLAS, MARPOL, employment, safety, insurance and any other legal or regulatory obligations.
YachtOpera is not a flag administration, classification society, recognised organisation or maritime authority, and is not a substitute for professional legal, regulatory, class, flag-state or technical advice.
YachtOpera does not guarantee that any vessel, crew member, record or operation is or will remain compliant. Alerts, reminders, checklists, compliance scores, rule packs, calculations, reports, AI-assisted outputs and Compliance & Readiness Reviews are aids only. They may be incomplete, delayed or incorrect, and must be checked against official sources and the judgement of qualified persons.
To the fullest extent permitted by law, YACHTOPERA LTD is not liable for any fine, penalty, detention, deficiency, non-conformity, inspection, survey or audit finding, loss or suspension of certification, insurance consequence, claim or other loss arising from a compliance failure, or from reliance on the service, whether or not the service identified, missed or mis-stated the relevant requirement.
Nothing in this section limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, liability for fraud, or your statutory rights as a consumer.
12. Customer data
You retain ownership of the data and materials you provide to YachtOpera. You grant YACHTOPERA LTD the limited rights necessary to host, process, transmit, back up and display that information solely to provide, secure, support and improve the service in accordance with these Terms and our Privacy Policy.
You confirm that you have the necessary rights, permissions and lawful basis to upload and use personal information, vessel records, crew information and other materials on the platform.
13. Privacy
Personal information is handled according to the YachtOpera Privacy Policy, which explains how we collect, use, protect and retain personal data.
14. Acceptable use
You must not:
- use YachtOpera unlawfully or to infringe third-party rights;
- attempt unauthorised access to accounts, data, systems or networks;
- interfere with platform security, availability or integrity;
- introduce malware or other harmful code;
- scrape or extract data at scale without our permission;
- reverse engineer the platform except to the extent legally permitted; or
- upload content that you do not have the right to use.
15. Intellectual property
YachtOpera, including its software, branding, interface, documentation and proprietary functionality, is owned by or licensed to YACHTOPERA LTD and is protected by applicable intellectual property laws. You retain ownership of your uploaded data. A subscription grants a limited right to use the service during the subscription period and does not transfer ownership of YachtOpera software or intellectual property.
16. Third-party services and integrations
YachtOpera may integrate with third-party services, including Paddle, our online reseller and Merchant of Record, mapping and weather services, communications providers, document-processing services, vessel-data services, and regulatory or other external data sources. Those services may be subject to their own terms, privacy notices, accuracy and availability. We are not responsible for third-party services outside our reasonable control, but we will manage our integrations with reasonable care.
17. Service availability
We aim to provide reliable availability and operate YachtOpera with reasonable skill and care, but uninterrupted service cannot be guaranteed. Temporary interruptions may occur because of maintenance, upgrades, security incidents, infrastructure failures, third-party outages or circumstances outside our reasonable control. Where practical, planned maintenance that may materially affect access will be communicated in advance.
18. Platform changes
We may improve, update or modify the platform and its functionality over time. We will handle material changes that significantly reduce paid functionality reasonably and, where appropriate, communicate them in advance. Changes needed for security, law, reliability or urgent technical reasons may be made without advance notice.
19. Suspension
We may suspend all or part of the service where reasonably necessary because of non-payment, security concerns, unlawful use, a material breach of these Terms, or a risk to other users, data or systems. Where practical and lawful, we will provide notice and a reasonable opportunity to remedy the issue before suspension.
20. Termination
You may terminate the agreement by cancelling your subscription in accordance with the applicable cancellation terms. We may terminate the agreement for a material breach that is not remedied within a reasonable period after notice, or immediately where the breach cannot be remedied, continued service would be unlawful, or continued access creates a serious security risk.
On termination, access ends according to the applicable billing and cancellation terms. Accrued payment obligations remain payable. Provisions which by their nature are intended to survive termination, including intellectual property, liability, governing law and payment obligations, will continue to apply.
21. Data export and account closure
Where reasonably available within the service or through an agreed support process, customers may retrieve or export relevant customer data before account closure. This does not promise a particular export format or functionality where it is not available.
Retention and deletion may be subject to contractual requirements, backup cycles, regulatory obligations, legitimate business requirements and the Privacy Policy. We recommend arranging any required retrieval before the subscription ends.
22. Warranties and disclaimers
We provide YachtOpera with reasonable skill and care. However, we do not guarantee uninterrupted or error-free operation, that every regulatory requirement will always be identified, or that information from third parties will always be complete, accurate or current. Customers should verify information where operational, safety, statutory or professional decisions depend on it.
Nothing in these Terms excludes or limits any warranty, right or remedy that cannot legally be excluded or limited, including mandatory consumer rights.
23. Limitation of liability
Nothing in these Terms limits or excludes either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.
Subject to the paragraph above, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business or anticipated savings, except where such loss was reasonably foreseeable and cannot legally be excluded. YACHTOPERA LTD’s total aggregate liability arising out of or in connection with the service and these Terms is limited to the fees paid or payable by the customer for the service during the 12 months immediately preceding the event giving rise to the claim. If the claim arises within the first 12 months, the limit is the fees paid or payable from the subscription start date to that event.
These limitations apply only to the extent permitted by law and do not affect mandatory consumer rights.
24. Indemnity
To the extent permitted by law, a business customer will indemnify YACHTOPERA LTD against reasonable, direct losses, liabilities and costs arising from a third-party claim caused by the customer’s unlawful use of the service, infringement by customer-provided content, or a serious breach of the customer responsibilities in these Terms. This indemnity does not apply to the extent the claim was caused by YachtOpera, and we will give reasonable notice and cooperation in relation to the claim.
25. Force majeure
Neither party is liable for delay or failure to perform an obligation, other than a payment obligation already due, where caused by an event beyond that party’s reasonable control. The affected party will take reasonable steps to reduce the impact and resume performance when practicable.
26. Changes to these Terms
We may update these Terms to reflect changes in the service, law, security practices or business operations. Material changes will be communicated where appropriate through the platform, website or customer contact details. The “Last updated” date will be revised when new Terms take effect. Continued use after the effective date constitutes acceptance where permitted by law.
27. Transfer / assignment
YACHTOPERA LTD may assign or transfer this agreement as part of a corporate restructuring, merger, acquisition, financing or sale of all or part of its business, subject to applicable law and without reducing your mandatory rights. You may not assign or transfer the agreement without our prior written consent, unless applicable law permits otherwise.
28. Severability
If any provision of these Terms is found invalid or unenforceable, it will be adjusted only to the minimum extent necessary or treated as removed, and the remaining provisions will remain effective.
29. Waiver
A failure or delay in enforcing a right under these Terms does not waive that right or prevent it from being enforced later. A waiver is effective only when given in writing.
30. Entire agreement
These Terms, together with the policies incorporated by reference and any applicable order, subscription or written service details, form the agreement concerning your use of YachtOpera. They replace earlier discussions or understandings on the same subject, without excluding liability for fraud or mandatory rights.
31. Third-party rights
Unless these Terms expressly provide otherwise, a person who is not a party to this agreement has no right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.
32. Governing law
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
Purchases are also governed by Paddle's Buyer Terms.
33. Jurisdiction
The courts of England and Wales shall have jurisdiction over disputes arising from or relating to these Terms, subject to any mandatory consumer rights that may apply.
